Governance & Leadership

All Saints Cathedral School is organized as a not-for-profit corporation under and by virtue of Chapter 3, Title 13 of the Virgin Islands Code.It functions as an extension of the community outreach ministry of The Cathedral Church of All Saints (the “Cathedral”), which corporation has ultimate control over the school.The governing body of ASCS is the Board of Trustees (the “Board”).The Board reports to the Vestry and Annual Meeting of the Cathedral.The Head of School (HOS), an ex-officio non-voting member of the Board, is responsible for the daily administration of ASCS and its programs in accordance with the bylaws and policies of the Board.The HOS is assisted by an Assistant Head of School who, in the absence of the HOS, makes decisions.Under appropriate circumstances another employee who agrees to accept this responsibility may be designated.

Relationship between the Cathedral and the School
The School shall function as an extension of the community outreach ministry of the Parish, subject to the supervision of the Vestry of the Church. The members of the School corporation shall be the Rector, Wardens and Vestry of the Parish (hereinafter, collectively the “Vestry”) as they are elected from time to time in accordance with the bylaws of the Parish.

Purpose of the Board from Bylaws

The purpose of the Board of Trustees (hereinafter called the "Board") of All Saints Cathedral School is to focus in one body the responsibility for setting the policies and procedures of the School and overseeing its management , subject to the review and approval of the Vestry of the Church as specified in these Bylaws.

  • to focus in one body the responsibility for establishment of setting the School’s mission and policies
  • hiring the Head of School and overseeing its management
  • supporting and reviewing the Head of School’s performance
  • ensuring effective organizational planning
  • ensuring adequate financial resources
  • determining and monitoring the School’s programs and services
  • enhancing the School’s public image
  • assessing its own performance

School Board Mission Statement

All Saints Cathedral School’s Board of Trustees exists to strategically plan, to set policies, and to make decisions that best ensures the viability of the institutional vision and mission for the current students’ children.
  • To deliver a superior moral and academic education to young Virgin Islanders.
  • To instill in its students an active respect for people of all faiths and backgrounds.
  • To promote independence, self-worth, physical health, spiritual awareness and responsible citizenship within a nurturing, faith-based environment connected to cultural and community roots.

Board of Trustees Membership

Membership on the Board shall consist of not less than eleven (11) persons and not more than fifteen (15) persons.  All members shall be selected by the nominating sub-committee of the Governance Committee of the Board, and elected by the Board at the Annual Meeting in June with the consent of the Vestry.
  1. The Rector of The Cathedral Church of All Saints, ex officio
  2. Two (2) persons elected from the Vestry of the Church
  3. One (1) persons appointed by the Rector from the congregation of the Church
  4. Three (3) persons shall be Episcopalians
  5. Three (4) to seven (8) persons shall be At Large.
The Rector or his designee shall be ex officio members of the Board with a vote.  The Head of School shall be an ex officio member of the Board with no vote.
The composition of the Board shall reflect a balance of expertise and perspectives needed to achieve the mission of the school.  Selection of Board members shall be on the basis of background, skill, interest, character and representation, taking into account and reflecting the diversity of the community, which may include disciplines of education, law, finance, architecture and engineering.  No voting Board member shall be an employee of the School, or the spouse, parent, or child of an employee of the School.
The regular term of a Board member shall be for a period of three (3) years beginning on the first day of July.  Board members may serve no more than two (2) consecutive terms and no more than nine (9) years consecutively in the case of a Board member filling an unexpired term of a Board member.  A former Board member becomes eligible to rejoin the Board after an absence of one (1) year.
